The Misty Valley Homeowners Association (HOA) is managed by an all-volunteer Board of Directors in conjunction with Birwood Property Management and along with support from many committee volunteers. The Board establishes the annual dues assessment and is responsible for allocating the dues to maintain and improve HOA properties and offer programs which are of value to Misty Valley residents.

Officers of the Board of Directors
Members of the HOA Board of Directors are elected during the Annual Members Meeting held in February. Officers are then elected at the first Board Meeting of the HOA year by the newly elected Board of Directors. The term of office for Board members is one year. Primary duties for each officer are as follows:
President
Presides at all HOA Board and Annual Member Meetings
Makes sure orders and resolutions are carried out
Signs contracts
Vice-President
Takes the place of the President when he/she is absent
Develops and manages contracts
Performs other duties as required
Secretary
Develops all meeting agendas
Keeps and publishes meeting minutes
Records votes
Treasurer
Receives and deposits monies
Signs checks
Prepares the annual budget
Communications
Manages HOA website
Coordinates Birwood portal postings
Directs social media activities
What Other Duties Does an HOA Board Have?
Arrange for the care and upkeep of the commons areas
Set the amount of and collect HOA assessment fees each year
Prepare a summary of the accomplishments for the year, including a summary of fiscal expenditures and cash reserve level
Prepare a budget for the next fiscal year for submission to the membership
Enforce any and all covenants, restrictions, agreements, and rules and regulations to protect the homeowners, relating to the use of common areas and personal conduct of HOA members
Regulate, plan, arrange for and approve all landscaping, improvements, erosion control, aesthetic and architectural issues, usage of the commons areas, and all questions concerning maintenance, repair, improvements, changes, or additions to the commons areas
Secure and contract for insurance and maintenance services as may be necessary or advisable
When Does the Board Meet?
The Board of Directors meets at least quarterly. The Board may also meet at other times as deemed necessary by the President or other officers and also conducts ongoing business via email. All topics discussed through emails and as existing or new business items are reviewed at regular Board Meetings. Minutes from Board and Annual Meetings, reflecting all key topics discussed, are published on the Birwood property management portal and the HOA website. In addition to meeting minutes, key HOA documents are also available on the Birwood portal and HOA website.
